Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the DiscoverAI platform, website, APIs, and all related services (collectively, the “Service”) provided by DiscoverAI, Inc. (“DiscoverAI”, “we”, “our”, “us”).

By creating an account, accessing, or using the Service you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.

You must be at least 16 years old and legally capable of entering a binding contract in your jurisdiction to use the Service. By accepting these Terms, you represent that you meet these requirements. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

• You must provide accurate, complete, and current information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must notify us immediately at security@discoverai.com of any unauthorised account access.
• You are responsible for all activity that occurs under your account.
• You may not share your account credentials with any third party or create accounts on behalf of others without their consent.

You agree not to use the Service to:

• Distribute illegal, fraudulent, defamatory, obscene, or harmful content.
• Infringe any intellectual property rights of any third party.
• Transmit spam, unsolicited messages, or deceptive advertising.
• Scrape, crawl, or extract data from the Service without written permission.
• Attempt to bypass, disable, or interfere with security features.
• Use the Service in any way that violates applicable laws or regulations.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use automated scripts or bots to interact with the Service.

5.1 Your Content

You retain ownership of all content you submit to the Service (“Your Content”). By submitting content, you grant DiscoverAI a worldwide, non-exclusive, royalty-free licence to host, reproduce, display, and distribute Your Content solely for the purpose of providing the Service.

You represent and warrant that you own or have the rights to all content you submit, and that Your Content does not violate any third-party rights or applicable laws.

5.2 DiscoverAI Intellectual Property

All intellectual property rights in the Service, including software, algorithms, documentation, and trademarks, belong exclusively to DiscoverAI or its licensors. Nothing in these Terms grants you any rights in the Service beyond the limited licence to use it as described herein.

6.1 Fees

Access to the Service requires a paid subscription plan. Current plan pricing is available at discoverai.com/pricing. All fees are quoted in USD and are exclusive of applicable taxes.

6.2 Billing Cycle

Subscriptions are billed in advance on a monthly or annual basis depending on the plan you select. Annual plans are non-refundable once purchased (except as required by law).

6.3 Upgrades and Downgrades

Plan upgrades take effect immediately with prorated billing. Downgrades take effect at the start of the next billing cycle.

6.4 Failed Payments

If payment fails, we will attempt to re-charge your card for up to 7 days. If payment cannot be collected, your account may be suspended until the outstanding balance is settled.

6.5 Refunds

Monthly subscriptions may be cancelled at any time; no refunds are issued for the current billing period. For annual subscriptions, refunds are available within 14 days of the initial purchase only.

We may offer a free trial period for new accounts. At the end of the trial, your account will be automatically converted to a paid plan unless you cancel before the trial expires. We will remind you by email 3 days before the trial ends.

8.1 By You

You may terminate your account at any time by contacting us at support@discoverai.com or through your account settings. Termination does not entitle you to a refund for unused portions of a paid period.

8.2 By DiscoverAI

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms or if we are required to do so by law. Upon termination, your right to use the Service ceases immediately.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. DISCOVERAI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DISCOVERAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. IN NO EVENT SHALL DISCOVERAI'S TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO DISCOVERAI IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.

You agree to defend, indemnify, and hold harmless DiscoverAI, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of your use of the Service, Your Content, or your violation of these Terms.

These Terms are governed by the laws of the State of California, USA, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved by binding arbitration in San Francisco, California, except that either party may seek injunctive relief in any court of competent jurisdiction for IP infringement or data protection violations.

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or a prominent notice on the Service. Your continued use after the effective date constitutes acceptance of the updated Terms.
